Notice regarding acquisition of PALSYS Software Co., Ltd.

NS Solutions Corporation (Head Office: Chuo-ku, Tokyo, Representative Director & President: Munetaka Shashiki, “NSSOL”) has acquired from PALSYS, Inc. (Head Office: Toshima-ku, Tokyo, Representative Director & President: Tsugihiko Suda, “PALSYS Japan”) all shares of its Thailand-based subsidiary PALSYS Software Co., Ltd. (“PALSYS”) making it a wholly owned subsidiary of NSSOL. NSSOL plans to merge PALSYS with its wholly-owned subsidiary in Thailand, Thai NS Solutions Co., Ltd. (“Thai NSSOL”) early in 2014.
With the economic growth of Thailand, as a core country in the ASEAN region, there has been a rapid increase in the number of Japanese companies expanding their business in Thailand, mainly in the automobile, steel, and electrical and precision instrument industries. In October this year, Nippon Steel & Sumitomo Metal also commenced operations of Nippon Steel & Sumikin Galvanizing (Thailand) Co., Ltd. (“NSGT”).
NSSOL established Thai NSSOL in March this year to assist NSGT to implement,, operate and maintain its production management system. Thai NSSOL also accelerates marketing activities towards the information system needs of Japanese companies in Thailand.
PALSYS, established in 1996, has for many years developed and maintenanced computer systems mainly for Japanese manufacturing companies, including steel plants in Thailand.
In response to an approach from PALSYS to work together in Thailand, NSSOL determined to acquire and merge PALSYS, with Thai NSSOL appreciating PALSYS’s track record of system development in Thailand and it’s high skilled local system engineers. By acquiring all shares of PALSYS from PALSYS Japan, NSSOL expects to accelerate its business expansion in Thailand by combining the marketing and technical strength of the NSSOL and PALSYS’s expertise and capability in system development.
With this acquisition of PALSYS, NSSOL expects to strengthen local capability of system solution services and to provide professional services to address customer needs in Thailand.
